Notice is hereby given that a call for nominations for the election of Directors of Australian College of Nursing Limited (ACN) will be held between Tuesday, 25 July 2023 and Tuesday, 12 September 2023.

About Election of Directors
ACN must hold an election for elected Board Directors every two years. At this time three (3) of seven (7) Elected Directors will have completed their term. Elected Directors are appointed for a four-year term and may complete two (2) consecutive terms (Clause 14.4) prior to a two (2) year break between terms as a Board Director.
In line with Clause 14.2 (a)(i) of the ACN Constitution this election is for three (3) elected Directors who may be from any Voting Member membership category.
Clause 5 of the Constitution outlines the Membership Categories. Those eligible for election are from the following Membership Categories:
a. Distinguished Life Fellow;
b. Fellow;
c. General Member;
d. Retired Fellows; and
e. Retired General Members.
Members considering nominating themselves for election, should consider their individual knowledge, skills and experience in practice and the profession against the essential criteria, in particular their commitment to ACN’s Strategic Directions and Vision as well as whether they meet the requirement for significant experience and/or qualifications in at least four of the desirable criteria.
Clause 14.2(a) of the Constitution requires that the Board seek to attract Directors with the requisite skills and capabilities to achieve the best decision-making on behalf of the Company. Therefore, in accordance with Clause 2 of the Constitution and 4.8(c) and 4.8(d) of the Election and Appointment By-Laws, the Board have determined that at least one (1) Director elected at this election must be a professor of a health discipline from a higher education provider so that they are eligible to sit on the Company’s Academic Council.
This will be achieved as per Clause 4.8(e) of the Election and Appointment By-Laws, by electing the first ranking candidate who meets this Chosen Director Attribute with the most votes, (out of all Qualifying Candidates for that Chosen Director Attribute).
As no other Chosen Director Attributes have been identified by the Board, then the voting for the remaining two (2) positions on the Board will be among the remaining candidates (not already elected as holder(s) of Chosen Director Attributes) who will be counted on a ‘first past the post’ method.
Nominations and Selection criteria
To assist in your deliberations please note the following:
- All those nominated, nominating and seconding must be Voting Members of ACN at the time nominations are called i.e., 5pm (AEST) Tuesday, 25 July 2023.
- Attached find a list of Directors standing down and those continuing on the Board. All those standing down are eligible to nominate for re-election to the Board.
- The call for nominations will close at 5pm (AEST) on Tuesday, 12 September 2023.
- Nominees are asked to demonstrate in writing in no more than 1,500 words (three (3) typed A4 pages single line spacing, this information will be treated as confidential) their ability to meet the Nominations and Selection Committee Criteria:
- Part 1: Essential Criteria – these criteria are considered essential.
- Part 2: Desirable Criteria – significant experience and/or qualifications in at least four of these areas is required.
- Nominees are asked to provide two referees who ACN may contact.
- Nominees must submit a Nominee Profile outlining their skills, qualifications, experience and general information regarding their candidacy (up to 250-words) for use in the election documentation and photograph with their nomination.
- Failure to provide a completed profile will be noted on the ballot paper.
- Completed nomination forms are to be sent to the Australian College of Nursing, PO Box 219, DEAKIN WEST ACT 2600 or by email company.secretary@acn.edu.au or fax to: 02 6282 3565.
- Nominees will be advised in writing as soon as practicable whether the Nominations and Selection Committee approves or rejects the nomination. The decision of the Nominations and Selection Committee is final.
- Nomination withdrawals will only be permitted up to 5pm (AEDST) Monday, 23 October 2023. Withdrawals received after this date will remain on the ballot papers.
- The ballot, if required, will open on Monday, 30 October 2023. Voting will be by electronic means for those members for which ACN holds an email address. All other members will be sent hard copy voting papers.
- The ballot will close at 5pm (AEDST) on Monday, 20 November 2023.
- The announcement for the outcome of the ballot will be declared on Monday, 11 December 2023 via email.
- Those elected will commence their term and attend their first Board meeting in February 2024 (Clause 14.6 (g)(i)).
- An orientation will be provided to new Directors.

STANDING DOWN: Of the Elected Directors standing down, only Georgina Willetts is eligible for re-nomination. Both Christine Duffield and Carmen Morgan having served two consecutive terms are ineligible.
